1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Subscriber," "you," or "your") and FilersHub LLC, a Delaware limited liability company ("FilersHub," "we," "us," or "our"). By subscribing to or using FilersHub, you agree to be bound by these Terms. If you do not agree, do not subscribe or use the service.
2. Description of Service
FilersHub is a cloud-based customer relationship management (CRM) platform built for tax professionals. The service is delivered as a hosted application integrated with the GoHighLevel platform. FilersHub provides tools for client management, tax return tracking, document collection, workflow automation, and related features as described on our website.
FilersHub is a practice management tool and does not provide tax advice, legal advice, or accounting services. You are solely responsible for the accuracy of your work product and compliance with all applicable laws and regulations governing your practice.
3. Eligibility
You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or your firm. By subscribing, you represent that all information you provide is accurate and complete.
4. Subscription Plans and Pricing
FilersHub offers subscription plans on both monthly and annual billing cycles. The specific features, pricing, and limitations of each plan are described on our website at the time of purchase.
RECURRING BILLING DISCLOSURE: By subscribing to a FilersHub plan, you authorize FilersHub to charge your payment method on a recurring basis (monthly or annually, depending on the plan you selected) at the then-current subscription rate until you cancel. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.
Legacy Pricing: Subscribers who purchase during the pre-sale period ("Legacy Members") will retain their subscription rate for the lifetime of their continuous, active subscription. If a Legacy Member cancels and later resubscribes, the Legacy rate is forfeited and the then-current standard pricing will apply.
Price Changes: We may change subscription pricing at any time for new subscribers. For existing subscribers (non-Legacy), we will provide at least 30 days' written notice before any price increase takes effect. Your continued use after the price change constitutes acceptance.
5. Payment Terms
All fees are charged in U.S. dollars. Payment is due at the time of subscription and on each renewal date thereafter. You are responsible for providing a valid payment method and keeping it current. If a payment fails, we may suspend your access until the balance is resolved.
All fees are exclusive of taxes. You are responsible for any applicable sales tax, use tax, or other taxes imposed by your jurisdiction.
6. Pre-Sale Terms
Subscriptions purchased during the pre-sale period will not activate until the official launch date of April 15, 2026 (the "Launch Date"). Your first billing cycle begins on the Launch Date. By purchasing during the pre-sale, you agree to these Terms and acknowledge that access to the platform will not be available until the Launch Date.
7. Cancellation
You may cancel your subscription at any time by contacting us at the email address provided below or through your account settings. Upon cancellation, your access will continue through the end of your current paid billing period. No partial refunds will be issued for unused time remaining in a billing period, except as provided in our Refund Policy.

9. Acceptable Use
You agree to use FilersHub only for lawful purposes related to your tax preparation or financial services practice. You may not: (a) sublicense, resell, or redistribute your FilersHub subscription; (b) use the service to store or transmit malicious code; (c) attempt to gain unauthorized access to any part of the service or its infrastructure; (d) use the service in any way that violates applicable laws or regulations; or (e) share your login credentials with unauthorized users.
10. Your Data
You retain ownership of all data you upload or create within FilersHub ("Your Data"). We do not claim ownership of Your Data. You grant FilersHub a limited license to host, store, and process Your Data solely for the purpose of providing the service to you.
You are responsible for maintaining your own backups of Your Data. Upon cancellation or termination, we will make Your Data available for export for a period of 30 days, after which it may be permanently deleted.
You are solely responsible for ensuring that your use of FilersHub complies with all applicable privacy laws and regulations, including but not limited to the Gramm-Leach-Bliley Act (GLBA) and IRS Publication 4557 requirements for safeguarding taxpayer data.
11. Intellectual Property
FilersHub and its original content, features, and functionality are owned by FilersHub LLC and are protected by copyright, trademark, and other intellectual property laws. Our trademarks may not be used without our prior written consent.
12. Third-Party Services
FilersHub integrates with and is built upon the GoHighLevel platform and may integrate with other third-party services. Your use of these third-party services is subject to their respective terms of service. FilersHub is not responsible for the availability, accuracy, or practices of any third-party service.
13. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any loss or damage resulting from service interruptions.
14. Limitation of Liability
To the maximum extent permitted by law, FilersHub LLC, its owners, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of or inability to use the service. Our total liability for any claim arising from these Terms or your use of the service shall not exceed the amount you paid to FilersHub in the twelve (12) months preceding the claim.
15. Indemnification
You agree to indemnify, defend, and hold harmless FilersHub LLC and its owners, officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any dispute between you and your clients.
16. Disclaimer of Warranties
The service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. FilersHub does not warrant that the service will meet your specific requirements or that it will be error-free.
17. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware. Each party shall bear its own costs of arbitration.
18. Modifications to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the service at least 30 days before they take effect. Your continued use of the service after the effective date constitutes acceptance of the modified Terms.
19. Termination
We may suspend or terminate your access to the service at our sole discretion if you violate these Terms, fail to pay fees when due, or engage in conduct that we reasonably determine is harmful to other users or to FilersHub. We will provide reasonable notice before termination when possible.
20. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
21. Entire Agreement
These Terms, together with our Refund Policy and any other policies referenced herein, constitute the entire agreement between you and FilersHub LLC regarding the use of the service.
